12. Waiver
A failure by GM to exercise or assert its rights pursuant to the present General Terms and Conditions shall not be deemed a waiver of the respective right, so that the subsequent exercise or assertion of this right is expressly reserved.
13. Applicable law, place of jurisdiction
13.1
The substantive national law at the registered office of GM in the version applicable at the time of conclusion of the contract shall apply to the contract and these General Terms and Conditions.
13.2
The applicability of the United Nations Convention on Contracts for the International Sale of Goods is hereby expressly excluded in accordance with Article 6 of this Convention.
13.3
Exclusive jurisdiction for all arising out of or in connection with an individual contract or these General Terms and Conditions or. Any disputes arising from the infringement, dissolution or nullity thereof shall be subject to local and substantive jurisdiction at the registered office of GM. At the discretion of GM, the court with local and substantive jurisdiction for the registered office of the customer may also be invoked for the above-mentioned disputes.
14. Others
14.1
Declarations on behalf of GM are only legally binding if they are made in the required number by persons authorised to represent (managing directors, authorised representatives, authorised representatives).
14.2
All agreements between GM and the customer must be in written form or. expressly agreed on via the GM digital platform of the GM Group. Accordingly, amendments and additions to these General Terms and Conditions shall only be effective if agreed in writing. The requirement of the written form shall be satisfied by fax or e-mail.
14.3
Should individual provisions of an individual contract or these General Terms and Conditions be ineffective in whole or in part, the remaining provisions shall remain effective. In the event of partial invalidity, the contractual partners undertake to replace the ineffective provisions with provisions that correspond as closely as possible to the purpose of the ineffective provisions.
